1. Acceptance of Terms

By accessing or using InvoiceBirds ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use the Service. These Terms apply to all users, including visitors, free-plan users, and paid subscribers. These Terms constitute a legally binding agreement between you ("User," "you," or "your") and InvoiceBirds ("we," "us," or "our").

2. Description of Service

InvoiceBirds is a web-based invoicing and financial management platform that enables you to:

  • Create, send, and manage invoices, estimates, proposals, and contracts
  • Accept online payments from your clients via Stripe
  • Track expenses and manage client relationships
  • Generate tax reports and financial summaries
  • Customize document templates and branding

The Service is provided on a subscription basis with Free, Professional, and Growth plans, each offering different feature sets and usage limits as described on our pricing page.

3. Account Registration

To use InvoiceBirds, you must create an account by providing accurate, current, and complete information. You are responsible for:

  • Maintaining the accuracy of your account information
  • Keeping your login credentials confidential and secure
  • All activity that occurs under your account
  • Notifying us immediately at support@invoicebirds.com of any unauthorized access or security breach

You must be at least 16 years of age and have the legal authority to enter into these Terms. If you are using InvoiceBirds on behalf of a business, you represent that you have the authority to bind that business to these Terms.

4. Subscription Plans & Billing

InvoiceBirds offers the following plan tiers:

  • Free Plan — Limited features at no cost, subject to usage limits
  • Professional Plan — Available monthly or annually with expanded features including custom branding
  • Growth Plan — Available monthly or annually with full feature access for scaling businesses

Paid subscriptions are processed through Stripe. By subscribing to a paid plan, you agree to the following:

  • Auto-renewal: Subscriptions automatically renew at the end of each billing cycle (monthly or annual) unless cancelled before the renewal date.
  • Cancellation: You may cancel your subscription at any time from your account settings. Access to paid features continues until the end of the current billing period. No partial refunds are issued for unused time within a billing cycle.
  • Price changes: We reserve the right to modify subscription pricing with at least 30 days' advance notice via email. Continued use of the Service after a price change takes effect constitutes acceptance of the new pricing.
  • Refunds: Refund requests are evaluated on a case-by-case basis. Contact support@invoicebirds.com within 14 days of a charge for consideration.

5. Payment Processing & Service Fee

InvoiceBirds enables you to accept online payments from your clients through Stripe integration. By using this payment collection feature, you acknowledge and agree to the following:

  • 1% InvoiceBirds Service Fee: A service fee of 1% (one percent) of the total invoice amount is charged by InvoiceBirds on each payment successfully collected through Stripe via the Service. This fee is automatically deducted from the payment amount before settlement to your account.
  • Stripe Processing Fees: In addition to the InvoiceBirds service fee, standard Stripe payment processing fees apply (as determined by Stripe's pricing). These fees are set by Stripe and are outside of InvoiceBirds' control.
  • Fee Disclosure: The combined fees (InvoiceBirds 1% service fee + Stripe processing fees) will be clearly displayed before you enable payment collection on an invoice.
  • Stripe Terms: By using payment collection, you also agree to Stripe's Services Agreement and Connected Account Agreement.

InvoiceBirds facilitates the connection to Stripe but is not a payment processor. We are not responsible for payment processing failures, chargebacks, disputes between you and your clients, or delays in fund settlement by Stripe. You are solely responsible for any tax obligations arising from payments received through the Service.

6. Free Plan Terms

The Free plan is offered at no cost with limited functionality. We reserve the right to modify, limit, or discontinue the Free plan at any time with 30 days' notice. Free-plan users will have the option to upgrade to a paid plan or export their data before any such change takes effect. Free-plan documents may include InvoiceBirds branding (e.g., "Powered by InvoiceBirds").

7. Acceptable Use

You agree to use InvoiceBirds only for lawful business purposes. You must not:

  • Use the Service for fraudulent invoicing, deceptive billing, or money laundering
  • Create invoices for goods or services that are illegal in your jurisdiction
  • Violate any applicable local, state, national, or international laws or regulations
  • Attempt to gain unauthorized access to the Service, other users' data, or our infrastructure
  • Transmit malware, viruses, spam, or any harmful content
  • Resell, sublicense, or redistribute the Service without written authorization
  • Interfere with or disrupt the proper functioning of the Service
  • Use automated scripts, bots, or scrapers to access the Service
  • Impersonate another person or entity

We reserve the right to suspend or terminate accounts that violate these terms without prior notice.

8. Your Data & Content

You retain full ownership of all data and content you create, upload, or enter into InvoiceBirds, including invoices, client information, financial records, proposals, contracts, and documents. We do not claim ownership of your content.

You grant us a limited, non-exclusive license to store, process, and display your data solely to operate and provide the Service. This license terminates when you delete your data or close your account.

Data Export: You may export your data at any time in standard formats (PDF, CSV) through the Service. We support your right to data portability and will assist with reasonable export requests.

9. Tax Compliance & Responsibility

InvoiceBirds provides tax calculation tools and reporting features as a convenience. However:

  • You are solely responsible for determining the correct tax rates, tax obligations, and regulatory requirements applicable to your business and jurisdiction.
  • InvoiceBirds does not provide tax, legal, or accounting advice. Tax estimates and reports generated by the Service are for informational purposes only.
  • You should consult a qualified tax professional or accountant for guidance on your specific tax obligations.
  • We are not liable for any errors in tax calculations, missed filings, or penalties resulting from reliance on data provided by the Service.

10. Service Availability

We strive to maintain 99.9% uptime for the Service. However, we do not guarantee uninterrupted or error-free access. The Service may be temporarily unavailable due to:

  • Scheduled maintenance (we will provide advance notice when possible)
  • Emergency security patches or critical updates
  • Factors beyond our control, including internet outages, third-party service failures, or force majeure events

We are not liable for any loss or damage arising from Service unavailability.

11. Intellectual Property

The InvoiceBirds name, logo, software, website design, and all associated intellectual property are owned exclusively by InvoiceBirds and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, reverse-engineer, or create derivative works of our platform, branding, or content without prior written permission.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill.
  • Our total aggregate liability for any claim arising from or related to the Service shall not exceed the total amount you paid to InvoiceBirds in the twelve (12) months immediately preceding the event giving rise to the claim, or $100 USD, whichever is greater.
  • We are not liable for the accuracy of exchange rates, tax calculations, or financial data provided through the Service.

13. Indemnification

You agree to indemnify, defend, and hold harmless InvoiceBirds, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from or related to:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any applicable law or regulation
  • Invoices, documents, or communications you create or send through the Service
  • Disputes between you and your clients

14. Termination

Either party may terminate this agreement:

  • By you: You may close your account at any time through your account settings or by contacting support@invoicebirds.com.
  • By us: We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or if required by law. For non-critical violations, we will provide 7 days' notice before termination.

Upon termination:

  • Your right to use the Service ends immediately
  • We will retain your data for 30 days to allow you to export it
  • After the 30-day grace period, your data will be permanently deleted unless retention is required by law
  • Any outstanding fees owed to InvoiceBirds remain payable

15. Dispute Resolution

In the event of any dispute arising from or relating to these Terms or the Service:

  • Informal resolution: Both parties agree to first attempt to resolve the dispute through good-faith negotiation by contacting support@invoicebirds.com.
  • Mediation: If informal resolution fails within 30 days, either party may initiate non-binding mediation.
  • Arbitration: If mediation fails, disputes shall be resolved through binding arbitration in accordance with applicable arbitration rules, conducted in English.
  • Class action waiver: You agree to resolve disputes individually and waive any right to participate in class action lawsuits or class-wide arbitration.

16. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. For users in the European Economic Area, nothing in these Terms affects your rights under mandatory consumer protection laws in your country of residence.

17. Changes to Terms

We may update these Terms from time to time. When we make material changes:

  • We will notify you via email at least 30 days before changes take effect
  • We will update the "Last updated" date at the top of this page
  • We may display a notice within the Service

Continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree with the changes, you must stop using the Service and close your account.

18. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and InvoiceBirds regarding the use of the Service and supersede all prior agreements and understandings.
